1. Introduction

Stackbill Private Limited is a registered private limited company under Indian corporate laws. These Terms and Conditions govern your use of Stackbill’s cloud management portal and related services. The terms "Stackbill Private Limited," "Stackbill," "Stack bill," "We," and "Our" all represent Stackbill. By using our services, you agree to comply with these terms.

2. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

  • Stackbill Private Limited: The company providing the cloud management portal and related services.

  • Stackbill/Stack bill/StackBill/We/Our: Represent Stackbill Private Limited.

  • Customer/Client/User: The individual or organization using Stackbill's services.

  • License: The authorization granted by Stackbill to use its cloud management portal, either free or standard.

  • Free License: A no-cost license that allows limited use of Stackbill’s features for testing.

  • Standard License: A paid license that provides full access to Stackbill’s features and optional premium support.

  • Cloud Infrastructure: The hardware, network, and storage infrastructure used by the customer to deploy and manage cloud services.

  • Addons: Additional features or functionalities that can be added to the Stackbill product, not included in the free license.

  • VMs (Virtual Machines): Virtualized computing instances that customers can launch and manage using Stackbill.

  • Prepaid Billing: A billing method where payments are made in advance for the services used.

  • Support/Contact Matrix: The structure provided during signup, detailing how customers can get support and whom to contact for various issues.

3. License Types and Usage Terms

  • Free License: Customers can use all features except for addons, with a maximum limit of 25 VMs. White labeling of the Stackbill product is not permitted. The free edition is for testing purposes only.

  • Standard License: Provides access to all features, with the option for additional premium support.

  • Usage Terms: The license is only for use in the agreed cloud infrastructure. Customers must not resell or reuse it in any other infrastructures. The license does not transfer any ownership or intellectual property rights.

4. Payment and Billing

  • Billing: Prepaid billing with options for monthly, quarterly, or yearly payments based on the agreement.

  • Payment Methods: Payments can be made through wire/bank transfer or via integrated payment gateways in the client portal.

  • Late Payments: If payment is not made by the due date, the license will be suspended seven days after the due date.

  • Refund Policy: Since Stackbill provides a free license to test all features, no refunds will be issued. If the customer terminates their service by providing prior notification within the agreed-upon period, Stackbill will issue a prorated refund for the remaining period

  • Changes to the pricing and Plans: Stackbill has rights to modify or amend or add the pricing and terms of the license scopes. The changes will be notified to the customers in 30 days before through email notification.

5. Support and Maintenance

  • Free License: No official support provided.

  • Standard License: 24/7 support with a maximum response time of 24 to 48 hours. Priority support is available with a premium support package.

6. Data Privacy and Security

  • Data Collection: Customer and organization information is collected through our website contact form and during signup, used solely for communication purposes.

  • Data Handling: No credit or debit card information is collected, and no third-party services handle customer data.

7. Customer Responsibilities

  • Maintenance: Customers maintain their Apache CloudStack infrastructure and related services. Stackbill provide patched and updates periodically and it will be deployed to the customers based on the approval by them.

  • Infrastructure Support: If the license includes CloudStack infrastructure maintenance support, Stackbill will manage the infrastructure and coordinate with respective vendors for hardware, network, and storage issues.

8. Intellectual Property

Stackbill product shall remain the property of Stackbill private limited and legal ownership shall remain vested in Stackbill Private Limited along with any future Changes made to the System under the Agreement

Customers can customize the logo, color, and look and feel of the Stackbill product. Other customizations or modifications require a custom additional contract with Stackbill.

9. Liability and Disclaimers

  • Liability: Stackbill’s maximum liability is limited to the amount paid by the client during the contract period.

  • Disclaimers: Stackbill do not warrant that its cloud management portal will be error free at any point of time.

10. Termination and Suspension

  • Termination by Customer: Customers can terminate the license at any time with 30 days prior notification.

  • Suspension by Stackbill: Stackbill may suspend or terminate the license and associated services due to non-payment or compliance violations.

11. Governing Law and Dispute Resolution

Governing Law: These terms are governed by the laws of India and the state of Tamil Nadu. Any legal matters, disputes, or interpretations of the agreement would be subject to Indian law and jurisdiction.

12. Modifications to Terms and Conditions

Stackbill may modify or update these Terms and Conditions at any time. Customers will be notified 30 to 90 days prior, depending on the nature of the amendments.

13. Website Use Terms and Conditions

  • Use of Website: By accessing and using the Stackbill website and its subdomains, you agree to comply with these Terms and Conditions.

  • Intellectual Property: All content on the website, including text, graphics, logos, and images, is the property of Stackbill Private Limited and protected by intellectual property laws.

  • Privacy: Your use of the website is also governed by our Privacy Policy, outlining how we collect, use, and protect your personal information.

  • Cookies: We may use cookies and similar technologies to enhance your browsing experience. You can manage cookies through your browser settings.
