Terms and Conditions for StackBill

1. Introduction

Welcome to StackBill ("the Software"). StackBill is a comprehensive public cloud management portal (CMP) built on top of Apache CloudStack, providing an intuitive and scalable cloud solution designed for service providers, ISVs, and SMEs. These Terms and Conditions ("Terms") set forth the legal agreement between you ("the User") and StackBill Private Limited ("we," "us," or "our") regarding your access to and use of the Software. By using the Software, you agree to comply with these Terms. If you do not accept these Terms, you are prohibited from using the Software.

2. Eligibility

You must meet the following conditions to use StackBill:

  • Be at least 18 years old or have the legal capacity to enter into a binding agreement in your jurisdiction.
  • Use StackBill in accordance with these Terms and all applicable laws.
  • If acting on behalf of an organization, represent that you have the authority to bind the organization to these Terms.

3. License Agreement

Subject to your compliance with these Terms, StackBill Private Limited grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Software. Restrictions under this license include but are not limited to:

  • Prohibition of resale, redistribution, or sublicensing of the Software.
  • Modification, reverse engineering, decompilation, or disassembly of the Software.
  • Use of the Software for activities that violate applicable laws or infringe on third-party rights.

4. User Responsibilities

Users agree to assume full responsibility for the following:

  • Managing StackBill license subscriptions, including renewal and updates.
  • Responding promptly to infrastructure-related alerts and notifications.
  • Monitoring and implementing StackBill update notifications to ensure Software functionality and security.

Exclusions: None of the StackBill editions include Apache CloudStack infrastructure management services such as hardware monitoring, hypervisor patching, or infrastructure upgrades. Users must independently handle these responsibilities.

Support Channels: For support, including emergency Priority 1 (P1) issues, Users should contact the designated channels (helpdesk, chat, or phone) as outlined in their StackBill Edition (Standard, Premium, or Enterprise) agreement.

5. Prohibited Activities

Users agree not to engage in the following activities while using StackBill:

  • Violating intellectual property rights of StackBill Private Limited or any third party.
  • Deploying or distributing malicious software, including viruses or malware.
  • Disrupting the functionality or security of the Software or its related systems.
  • Sending unauthorized advertisements or spam through the Software.

6. Intellectual Property Rights

All intellectual property rights in StackBill, including but not limited to Software code, features, trademarks, and branding, are owned exclusively by StackBill Private Limited. Users are granted no ownership rights. Misuse or unauthorized use of our intellectual property is strictly prohibited and may result in legal action.

7. Privacy Policy

Your use of StackBill is subject to our Privacy Policy. We are committed to protecting your data and using it solely for operational and internal purposes. Personal information will not be sold or shared for marketing purposes. For more details, please review our [Privacy Policy].

8. Fees and Payments

StackBill offers flexible subscription-based pricing, which is calculated per physical hypervisor (node). Payment terms and pricing details include:

  • Standard Edition: Designed for startups, priced at $49 per hypervisor per month.
  • Premium Edition: Tailored for medium and large cloud providers, priced at $99 per hypervisor per month.
  • Enterprise Edition: Customizable for ISPs, MSPs, and other multi-cloud providers, with pricing determined based on specific requirements.
Terms of Payment:
  • Payments may be made monthly, quarterly, half-yearly, or annually.
  • All payments are non-refundable, except where required by applicable law.
  • Failure to pay may result in suspension or termination of access to the Software.

9. Delivery and Deployment

StackBill Software is made available for download via a secure public URL. Deployment methods depend on the license type:

  • Self-deployment: For Standard and Premium editions.
  • Assisted deployment: For Enterprise editions, provided by the StackBill team.

10.Refund and Return Policy

Payments for StackBill subscriptions are final and non-refundable. In case of disputes, both parties agree to follow the designated resolution channels. Refunds, if applicable after dispute resolution, will be processed within 30 business days.

11. Limitation of Liability

To the fullest extent permitted by law, StackBill Private Limited is not liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of profits, business opportunities, or data.
  • Any damages arising from your use or inability to use the Software.

12. Indemnification

Users agree to indemnify and hold harmless StackBill Private Limited, its affiliates, and employees from and against any claims, damages, losses, or liabilities arising from:

  • User’s breach of these Terms.
  • User’s violation of any applicable laws or third-party rights.
  • Misuse of the Software by the User.

13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Coimbatore District, Tamil Nadu.

14. Updates to Terms

We reserve the right to update or modify these Terms at any time. Changes will take effect upon publication. Continued use of the Software after such updates constitutes acceptance of the revised Terms.
